Senior Corporate Paralegal
Fike Corporation, a rapidly growing international manufacturer of
pressure relief, explosion protection, fire suppression and
detection equipment, has an opportunity for a Senior Corporate
Paralegal position. Fike is a privately held business located in
Blue Springs, MO with over 400 employees locally & over 1,200
employees worldwide.
Job Summary:
The Senior Corporate Paralegal provides key logistical,
administrative and compliance support to the General Counsel and
Corporate Secretary. The Senior Corporate Paralegal will also
support the General Counsel in the following areas: Contract
drafting and review, contract database creation, corporate
compliance filings, subsidiary governance matters, management, and
oversight of the company's risk and insurance policy renewal
program, research and special projects. This position will provide
transaction and due diligence support related to the company's
mergers and acquisitions activity.
Primary Responsibilities:
Assumes specific corporate governance responsibilities, including:
(a) administration of Board and shareholder notice and meeting
process activities; maintaining calendar, coordinating agendas,
assisting in board portal communications, maintaining database of
resolutions, and preparing consents, delegations, and resolutions;
(b) serve as a supplemental point of contact for the Board of
Directors; (c) preparation of board and shareholder meeting minutes
and other routine corporate secretary documents for corporate
parent company and its subsidiaries; and maintenance of accurate
minute books; (d) preparation and filing of state and local filings
(qualifications) for company and subsidiaries; and (e) maintaining
the stock register.
Prepares routine documents, agreements and instruments, such as
confidentiality, consulting, purchase and sale contracts, and
insurance certificates
Collaborates with the corporate finance department and supports
routine compliance with bank and finance agreements.
Develop and implement reports for monitoring legal projects and
outside legal spending.
Conducts research and resolves routine law questions under the
guidance of a supervising attorney.
Maintains contract and legal abstract database.
Manages information requests to and from other company personnel,
including research of legal matters and historical information from
company records and information from other departments regarding
both domestic and international corporate entities, commercial
transactions and litigation; reviews documents and transmits
information and documents to outside counsel and company personnel
with minimal guidance from supervising attorney.
Furnishes assistance in financing and business development
transactions, including due diligence, review and preparation of
schedules.
Manages projects outsourced to consultants or outside counsel.
Assists with managing company record retention and information
management.
Undertakes other ad hoc projects under supervision of an
attorney.
Maintains the confidentiality of all information processed.
Furnishes litigation support including file set-up and maintenance,
document and fact gathering, review and preparation of discovery
materials, and coordination of work through outside counsel.
Performs related duties as assigned. Regular and consistent
attendance is required.

Work Environment:
While performing the duties of this job, the environment is general
office work and the employee is regularly required to walk, talk,
hear, see, sit, and use hands. Domestic and international travel as
needed.
Job Qualifications:
REQUIRED: Paralegal certificate. Five years corporate legal
experience with 8 years professional work experience. Driven and
self-motivated with a strong desire for learning. Extremely
organized with a strong sense of priority, urgency and commitment
to deadlines. Exceptional written and verbal communication skills;
interpersonal skills. Ability to manage a heavy workload and to
prioritize multiple projects. Ability to work independently while
functioning well in a team environment. Ability to understand
general business operations, issues and dynamics beyond the scope
of basic legal issues. Strong computer skills, including
proficiency with Microsoft Office Suite and Google Workspace.
PREFERRED: Bachelor's Degree. Prior corporate governance
responsibilities in a medium to large sized law firm or
corporation. Notary Public. Proficiency at keyboarding and
transcription.
